Craig said, “Serious commercial transactions require lawyers with real expertise. When dealing with the purchase of shares in a company, there are several key aspects to consider. Carrying out sufficient due diligence about the company is vital. Knowing details about the company is so important, for example reviewing the accounts of the company, knowing if the company is part of any ongoing litigation issues and ensuring that large contracts the company has entered into will not be affected by the share purchase.
“Parties need to ensure that the documents reflect exactly what has been agreed. Heads of terms are produced at the beginning of the transaction and the paperwork for the transaction should follow the heads of terms. If the company being purchased owns property, then due diligence about the property will also have to be carried out.”
